Board of Directors Announcement: Board Vacancy

On September 9, 2024, the Board of Directors voted unanimously to accept that Vanessa Vadim has vacated her seat on the Board pursuant to Policy D.3.7.4.

The Board invites any Co-op shareholder who may be interested in being appointed to serve out the remainder of this term (through fall of 2026) to submit a statement of interest (bfc.coop/about/board-of-directors/).

*Board policy 2.3.7.4 states that “a Board member who misses four regular Board meetings in a term year must resign from the Board of Directors unless, in Executive Session, a majority of Board members vote to retain the Board member.”

Board policy D.8.4 states “When a Board member leaves the Board, the Board will inform the shareholders of the vacancy. The Board shall discuss, in Executive Session, whether, how and by when to fill the vacancy. The board will decide whether to: (a) appoint someone to fill the term, or (b) leave the position open until the next election.”
